Terms of Service

1. Acceptance of Terms

By registering for or using Phairo, you confirm that you are at least 18 years old, are a licensed pharmacist or authorised representative of a registered pharmacy in India, and have the legal authority to enter into this agreement on behalf of your business.

2. Description of Service

Phairo provides a cloud-based pharmacy ERP platform including:

• GST-compliant billing and POS
• Inventory management with batch and expiry tracking
• WhatsApp bot for commands, alerts, and reports
• Purchase and distributor management
• OCR-based invoice parsing
• GST report generation (GSTR-1, GSTR-3B data)
• Schedule H/H1/X narcotic drug register

We reserve the right to modify, suspend, or discontinue any feature at any time with reasonable notice.

3. Account Registration & Eligibility

• You must provide accurate information during registration including your GSTIN and drug license details.
• You are responsible for maintaining the security of your account credentials.
• You must notify us immediately at support@phairo.in if you suspect unauthorised access to your account.
• One account per pharmacy. Multi-store accounts are available under the Chain plan.

4. Subscription & Payment Terms

Phairo operates on a subscription model:

• Free Trial: 30 days from account creation, no credit card required.
• Essential Plan: ₹699/month, billed monthly via Razorpay auto-debit.
• Annual Plan: ₹5,990/year, billed annually.
• Subscriptions auto-renew unless cancelled before the renewal date.
• Prices are exclusive of GST. Applicable GST will be added to all invoices.
• We reserve the right to change pricing with 30 days written notice.
• Failed payments will result in a 7-day grace period before account suspension.

5. Acceptable Use

You agree to use Phairo only for lawful purposes and in accordance with these Terms. You must not:

• Use Phairo to bill for prescription drugs without maintaining valid prescriptions as required by law
• Enter false or fabricated stock, billing, or GST data
• Attempt to access another pharmacy's data or circumvent our security measures
• Use our WhatsApp bot for purposes other than managing your pharmacy
• Resell, sublicense, or white-label Phairo without our written consent
• Use automated scripts or bots to access the platform outside of our official API
• Upload malicious files or attempt to compromise our infrastructure

6. Regulatory Compliance — Your Responsibility

• Maintaining a valid drug license is your responsibility.
• Filing GST returns using data generated by Phairo is your responsibility — review all data before filing.
• Schedule H/H1/X register entries in Phairo do not replace the physical register required by law.
• Phairo's GST calculations are provided as guidance. We recommend CA review for final filings.

7. Data Ownership & Pharma Data Sharing

You retain ownership of all business data you enter into Phairo.

By using Phairo, you consent to the sharing of brand-level, non-patient, aggregated SKU sales data with the respective pharmaceutical brand manufacturers. This is core to how we operate our dual revenue model. Specifically:

• Only medicine brand and quantity data is shared — no patient information
• You may opt out of sharing specific brands in your account settings
• You can view exactly which brands are shared in your dashboard
• Pharma company clients can only see data for their own brands

You grant Whitelilly Corporate Solutions Pvt Ltd a non-exclusive, royalty-free licence to process, analyse, and commercialise anonymised and aggregated data derived from your usage for the pharma data intelligence product.

8. Intellectual Property

Phairo, its logo, software, and all content on phairo.in are the intellectual property of Whitelilly Corporate Solutions Pvt Ltd. You may not copy, modify, distribute, or create derivative works without our prior written consent.

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• Phairo is provided "as is" without warranty of any kind.
• We are not liable for any losses arising from GST miscalculations, stock discrepancies, or billing errors — always review outputs before use.
• Our total liability to you in any calendar month shall not exceed the subscription fee paid by you in that month.
• We are not liable for losses arising from WhatsApp API downtime, Meta policy changes, or third-party service outages.

10. Termination

You may cancel your account at any time from your account settings or by emailing support@phairo.in. Upon cancellation:

• Access ends at the end of the current billing period.
• You may export your data within 30 days of cancellation.
• After 30 days, data is deleted per our retention policy.

We may suspend or terminate your account immediately if you violate these Terms, engage in fraudulent activity, or for non-payment after the grace period.

11. Governing Law & Disputes

These Terms are governed by the laws of India. Any disputes arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra. We encourage resolving disputes amicably — contact support@phairo.in first.

12. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated via WhatsApp and email with at least 14 days notice. Continued use of Phairo after the effective date constitutes acceptance of the revised Terms.
